A fintech company once known as ALT5 Sigma and closely associated with the Trump family’s World Liberty Financial is facing a dramatic change in strategy after a proposed transaction involving its core payments business collapsed.
AI Financial Corporation, which changed its name from ALT5 Sigma in April 2026, has attracted intense attention since it entered into a major partnership with World Liberty Financial, the cryptocurrency venture backed by members of the Trump family. The company later shifted its corporate identity and Nasdaq ticker as it sought to position itself around digital assets, tokenization and artificial intelligence.
The latest development, however, has raised fresh questions about the future of the business.
In July, Perpetuals.com ended discussions to acquire AI Financial’s subsidiary Alt5 Sigma Canada. The parties had signed a non-binding term sheet only days earlier, but Perpetuals subsequently announced that it would not proceed with the transaction. Reuters reported that the proposed deal involved a business closely affiliated with World Liberty Financial.
The development is important because Alt5 Sigma Canada operates the fintech infrastructure that sits at the center of AI Financial’s digital-asset business, including payment, trading and settlement technology.
While some market reports have described the transaction as a sale of the company’s core payments business for roughly $12 million, the latest available reporting indicates that the proposed acquisition was terminated rather than completed. That distinction is important for investors assessing the company’s current financial position.
The episode represents a sharp contrast with the optimism surrounding ALT5 Sigma less than a year ago.
From Little-Known Fintech to Trump-Linked Crypto Company
Before its connection with World Liberty Financial, ALT5 Sigma was a relatively small publicly traded fintech company focused on blockchain-powered financial infrastructure.
Its businesses included digital-asset payments, trading, settlement and related services.
SEC filings describe ALT5 Sigma Canada as a provider of blockchain-based technology supporting tokenization, trading, clearing, settlement, payment and digital-asset custody. The company's customers have included businesses such as financial institutions, funds, broker-dealers, family offices, liquidity providers and merchants.
That changed dramatically in August 2025.
ALT5 Sigma announced a major transaction involving World Liberty Financial, receiving $WLFI tokens as part of a broader capital-raising strategy designed to establish a World Liberty Financial token treasury.
The company raised hundreds of millions of dollars and said it intended to use the proceeds to acquire WLFI tokens and establish a cryptocurrency treasury operation.
Reuters later reported that ALT5 raised $750 million through the arrangement and used approximately $717 million to acquire World Liberty tokens. The transaction also resulted in more than $500 million flowing to the Trump family based on their arrangement with World Liberty Financial, according to Reuters.
The transaction immediately transformed the market’s perception of the company.
What had been a small fintech became one of the most closely watched publicly traded companies connected to the Trump family's cryptocurrency activities.
The Billion-Dollar Valuation Moment
The company’s market value briefly surged following its relationship with World Liberty Financial.
At its peak, the market capitalization approached the $1 billion level, reflecting investor enthusiasm around the company's new cryptocurrency strategy and its association with the Trump-linked digital-asset project.
That valuation proved difficult to sustain.
As the market reassessed the company’s fundamentals, its share price fell sharply.
Reuters reported that the stock had declined from above $9 following the August 2025 transaction to roughly 53 cents by July 2026.

In an SEC filing, the company confirmed that the name change became effective April 28, 2026.
The company said the new identity reflected its evolution across payments, tokenization and AI-driven infrastructure.
AI Financial began trading under the AIFC ticker on April 29.
The rebranding was part of a broader effort to position the company around emerging financial technologies rather than its previous identity as ALT5 Sigma.
However, the financial-market performance has not matched the ambition of the new branding.

But just one week later, Perpetuals announced that it had ended the discussions.
Reuters reported that Perpetuals had decided not to pursue the acquisition and that the earlier letter of intent had been terminated. Neither company publicly provided a detailed explanation for the decision.
The failed transaction leaves AI Financial with important questions about what comes next for the payments and digital-asset infrastructure operations.
For a company whose business was built around those services, the uncertainty is significant.
Why the $12 Million Figure Matters
Reports surrounding the proposed transaction have focused on a valuation in the low tens of millions of dollars, including a figure of approximately $12 million associated with the initial consideration discussed for the business.
